Institutional Redlines
01. Governing Law: This Agreement is governed by the laws of The Republic of India.
02. Liability: Total liability shall not exceed three times (3x) the fees.
03. IP Rights: Customer retains ownership, but Vendor may use anonymized insights.
04. Payment: All invoices payable within fifteen (15) days.
05. Termination: A notice period of 120 days is required.
06. Indemnity: Vendor indemnifies Customer for direct damages only.
07. Data Security: Vendor must notify of breach within six (6) hours.
08. Audit Rights: Customer may audit books once every quarter.
09. Force Majeure: Includes acts of God and riots.
10. Assignment: Neither party may assign without prior written consent.
11. Non-Solicit: Restricted for 24 months post-term.
12. Entire Agreement: Supersedes all prior understandings.
